1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of ZeroAgent, a free macOS desktop application published by MVPLean, Inc. ("MVPLean", "we", "our", or "us"), and your use of this website at mvplean.com/zeroagent/ (together, the "Service"). By downloading, installing, or using ZeroAgent, or by using this website, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of the Service

ZeroAgent is a free desktop application for macOS. It runs locally on your own computer, does not require an account to download or use, and lets you dispatch coding agent tasks to worker agents running on your own machine, shown as creatures on a canvas you can watch, drag, and talk to.

ZeroAgent drives coding agent command-line tools already installed on your computer, using your own model provider accounts and API keys. It is not a hosted service: your prompts, code, and model requests go directly from your machine to your chosen model provider under that provider's own terms, not through MVPLean.

MVPLean plans to offer additional paid services in the future, such as an account and a relay for watching and controlling your workers from another device. These are not available today. If and when they launch, they will be offered under separate terms presented to you at that time, and we reserve the right to do so.

3. Licence to Use the App

Subject to your compliance with these Terms, MVPLean grants you a personal, non-exclusive, non-transferable licence to download and use the ZeroAgent application binary for your own use.

You may not redistribute, resell, sublicense, or otherwise make the ZeroAgent binary available to any other person or service, whether for a fee or free of charge. All other rights are reserved.

4. Account Registration

ZeroAgent does not require an account to download or use today. Where a future paid service requires an account, we will describe what that involves before you sign up, and you will be responsible for keeping any such account's credentials secure and for activity that occurs under it.

5. Your Content

ZeroAgent's memory, settings, transcripts, worktrees, and everything else it creates stay on your own disk. MVPLean does not receive, store, or process the content of your code, prompts, or transcripts. You retain all rights to your own content at all times.

6. Privacy and Data Protection

Our collection and use of information is described in our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, and the ZeroAgent application itself, are owned by MVPLean and protected by intellectual property laws. Nothing in these Terms grants you any right to MVPLean's trademarks, logos, or brand features except as needed to refer to the Service accurately.

8. Disclaimers

No warranty. The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied.

Agent output. ZeroAgent dispatches coding agents that generate code, text, and decisions on your behalf. We do not guarantee the accuracy, safety, or fitness of any output produced by an agent, and you are responsible for reviewing any code or change before you rely on it or merge it.

Third-party model providers. Model requests are handled by the provider you configure, under that provider's own terms and service levels. MVPLean does not control and is not responsible for the availability, accuracy, or conduct of any third-party model provider.

9. Limitation of Liability

To the maximum extent permitted by law, MVPLean shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

10. Indemnification

You agree to indemnify and hold harmless MVPLean and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

You may stop using the Service at any time by uninstalling the application. We may suspend or terminate your access to any future account-based service for conduct that violates these Terms.

12. Changes to Terms

We may modify these Terms at any time. We will update the effective date above when we do. Your continued use of the Service after a change is posted constitutes acceptance of the new Terms.

13. Governing Law

MVPLean, Inc. is a Delaware corporation. These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
